  3. Deposits with no agreed status. Say whether a deposit is refundable, what it secures, and what happens to it if the arrangement ends early. Deposit disputes are among the most common of all.
  4. No audit right on royalties. Where money depends on the other side's reporting, a right to inspect the records is the only thing that makes the number checkable.
  5. No inspection or review window. Give the licensee a defined period to check the licensed software and raise problems, with deemed acceptance after it. Otherwise work sits "under review" indefinitely and payment never falls due.
