What is a Background Check Authorization?

What matters most in a background check authorization
Acknowledgements are not contracts
Handbook acknowledgements usually confirm receipt rather than create binding terms, and should say so to avoid the handbook becoming contractual.
Background checks need standalone disclosure
US fair credit reporting rules require a clear, separate disclosure and written authorisation before a consumer report is obtained. Burying it in the application form breaches the rule.
Adverse action has a procedure
If a report leads to a decision against the candidate, they must receive a copy and an opportunity to respond before the decision is finalised.
When you need a background check authorization
- When the counterparty is new to you: With no track record between the parties, the written terms do the work that familiarity would otherwise do. That is exactly when precision pays for itself.
- When a policy enforced against someone who never received the current version is a realistic prospect: If this is the way the arrangement usually goes wrong, it belongs in the document. Allocating that risk in advance is much cheaper than allocating it afterwards.
- When the acknowledged policy needs defining: Write down what is included and what is not. A specific description is what turns an extra request into a chargeable variation rather than an argument.
- When sensitive information is shared: Confidentiality terms should be signed before disclosure, not after. Information already shared without protection is very difficult to claw back.
- When either side may need an exit: Agree how the arrangement ends while both parties are still on good terms. Exit clauses negotiated during a dispute rarely favour anyone.
- When you already have the dated signature confirming receipt: If there is a brief, plan, specification or schedule, attach it. An agreement that refers to a record nobody has attached is only half a record.

- How often wages are paid. State law often dictates minimum pay frequency, so check the rule for your state.
Dates, timing and duration
Diarise every date in this section on the day the document is signed — particularly any notice deadline, which works exactly once against the party who forgot it.
- Effective Date
- The date the agreement takes effect. This can differ from the signature date, and it is the date obligations start running from.
- Start Date
- When performance begins. Tie this to a calendar date rather than a vague trigger such as 'on approval'.
- Notice Period
- How much warning a party must give before ending the agreement, and how notice must be delivered to count.
Role and working arrangements
Role, hours and reporting lines drift over time. Where practice has moved away from what is written here, reissue the document rather than relying on a version that no longer describes the job.
- Job Title
- The role title and where it sits in the organisation.
- Department
- The team or business unit the role belongs to.
- Reporting Manager
- The person the employee reports to day to day. Naming the role rather than only the individual avoids the clause going stale after internal moves.
- Work Location
- The primary place of work and whether remote or hybrid working is permitted.
- Working Hours
- Expected hours and days, plus overtime treatment. Misclassifying an employee as exempt from overtime is a frequent and expensive error.
- Benefits
- Health cover, retirement contributions, paid leave and any other benefits, plus who is eligible and when entitlement begins.
- Probation Period
- The initial review period, what is assessed and what notice applies during it.
Confidentiality and intellectual property
Ownership does not pass because money changed hands. If rights in the acknowledged policy are meant to move, this section has to say so expressly.
- Confidentiality Obligations
- The duty to keep information private, who it may be shared with internally, and the standard of care required.
- Intellectual Property Obligations
- The employee's duty to assign inventions and work product created in the course of employment.
Legal protections and risk
Set a liability cap that reflects the real exposure rather than the fee, and carve out the things that should never be capped.

- The state whose law governs the agreement. Choose a state connected to the parties or the work, as a wholly unconnected choice may not be respected.

Use calendar dates rather than relative triggers such as "on approval", which cannot be measured. Dates determine when obligations start, when they end, and when someone is late.
Reading it as the other side would

Common mistakes to avoid
- Leaving reissuing the acknowledgement whenever the policy is revised to good faith. Good faith is not a plan. Write down what happens after the acknowledgement date, because that is the point at which the parties' interests stop being aligned.
- Assuming insurance responds. Check that the policy actually covers this arrangement and this value. Cover assumed and never verified is the most expensive kind of assumption in the file.
- No dispute step before litigation. A short escalation clause — a conversation, then mediation, then proceedings — resolves most disagreements far more cheaply than starting at the end.
- Copying an agreement without changing the substance. The structure travels between deals. The description of the acknowledged policy, the money and the dates do not — and those are precisely the clauses that get litigated.
- Letting the agreement lapse quietly. Where the arrangement rolls on, diarise the notice deadline the day it is signed. Renewal clauses work exactly once against the party who forgot them.

Background Check Authorization — frequently asked questions
Is written consent required before running a background check?
Yes. Under the US Fair Credit Reporting Act the disclosure must be clear, conspicuous and in a standalone document, with separate written authorisation from the candidate. State and local 'ban the box' laws add further restrictions on timing and on what may be considered. Procedural mistakes here generate class-action exposure, so follow the sequence precisely.
What is the most important thing to get right in a background check authorization?
The description of the acknowledged policy. Almost every later clause — price, timing, whether the acknowledgement date has been reached — refers back to it, so an imprecise description there weakens the whole document. State it in policy covereds and attach the dated signature confirming receipt rather than relying on a general description both sides read differently.
When is a background check authorization treated as complete?
At the acknowledgement date — but only if the document says what has to be true for that point to have been reached and who confirms it. Without a test, the employer considers the obligation discharged while the employee is still waiting, and neither reading is unreasonable on the wording.
Which state's law should govern this background check authorization?
Choose a state with a genuine connection to the parties or the subject matter — where a party is based, or where the work or property is located. A choice with no connection at all may not be respected, and for property or employment the local state's rules will often apply regardless of what the contract says.
How long do the confidentiality obligations last?
Ordinary commercial information is usually protected for a fixed period of two to five years after the agreement ends, while genuine trade secrets are often protected for as long as they stay secret. Whichever you choose, state expressly that the confidentiality clause survives termination — otherwise the protection ends with the contract.
How is notice properly given under this agreement?
Follow the notice clause exactly: use the stated method, send it to the address named in the agreement, and keep proof of delivery. Notice given informally — a text message, or an email to the wrong person — is frequently challenged, and a defective notice can leave the agreement running on.
Does this agreement override state employment law?
No. Statutory rights on minimum wage, overtime, leave and discrimination apply regardless of what the contract says. A clause that undercuts them is unenforceable to that extent, and the rest of the agreement usually survives.
Should the employee get a copy before starting?
Yes, and ideally several days beforehand. An agreement presented on the first morning with an expectation of immediate signature is more vulnerable to challenge, particularly where it contains restrictive covenants.
