What is a Gift Letter Agreement?
This template is written for donors, recipients and mortgage lenders, so that both sides can see what was promised, what it costs, and what happens if circumstances change.
There are 13 fields here, grouped into 5 areas — parties and contact details, scope and deliverables, payment and financial terms, dates, timing and duration, and legal protections and risk. Each is a term that causes argument when left unstated, which is why the generator asks for it rather than leaving a gap in the document.
The written record of what was agreed and when is what settles most disagreements here, which is why it is worth attaching rather than leaving in an inbox. Private agreements between people who trust each other are the ones least likely to be written down and most likely to end a relationship when they go wrong. The written record is the point.
Complete the fields, read the assembled gift letter agreement in the preview panel, then download it in PDF or Word format. The document follows widely used contract conventions, though it cannot account for every state rule or industry requirement — professional review is sensible before signing anything substantial.
What matters most in a gift letter agreement
Lenders require specific wording
Mortgage lenders need confirmation that the funds are a gift and not a loan, since a repayable sum affects the borrower's affordability assessment.
Identify the parties and relationship
State the donor's name, their relationship to the recipient, the amount and the date of transfer.
Keep evidence of the transfer
Lenders typically ask for bank statements showing the source of funds as well as the letter itself.
When you need a gift letter agreement
- When the arrangement needs defining: Write down what is included and what is not. A specific description is what turns an extra request into a chargeable variation rather than an argument.
- When more than one person is involved: Where several people share the obligation, the gift letter agreement should say whether they are liable together, separately, or both. That single word decides who can be pursued for the whole amount.
- When replacing an earlier arrangement: Issue a fresh gift letter agreement when the original terms no longer reflect what the parties actually do. Amending informally leaves two inconsistent records of one relationship.
- When an informal understanding nobody wrote down until it mattered is a realistic prospect: If this is the way the arrangement usually goes wrong, it belongs in the document. Allocating that risk in advance is much cheaper than allocating it afterwards.
- When the counterparty is new to you: With no track record between the parties, the written terms do the work that familiarity would otherwise do. That is exactly when precision pays for itself.
- When either side may need an exit: Agree how the arrangement ends while both parties are still on good terms. Exit clauses negotiated during a dispute rarely favour anyone.
What to include in a gift letter agreement
This generator collects 13 details. Here is what each group covers and why it matters when the document is relied on.
Parties and contact details
These entries decide who can enforce and who can be enforced against. Where either side is a company, use the registered name — a trading name is not a party.
- Party A Name
- The full legal name of the first party. Where a party is a company, name the entity rather than an individual employee.
- Party A Address
- The first party's address for service of notices under the agreement.
- Party B Name
- The full legal name of the second party bound by the agreement.
- Party B Address
- The second party's address for notices and correspondence.
Scope and deliverables
Set out what the party giving is delivering and, just as importantly, what is excluded. Most of the cost overruns in this kind of work start as an unstated assumption here.
- Purpose of Agreement
- Why the parties are entering into the agreement. This helps a court interpret ambiguous clauses in line with the parties' actual intent.
- Responsibilities
- What each party must do, provide or approve, allocated by name so no obligation is left unowned.
Payment and financial terms
Say what happens when the party receiving pays late. Without interest and a right for the party giving to suspend, the deadline is a suggestion.
- Amount or Property
- A precise description of the money or property being transferred, with quantities and identifying details.
- Payment Terms
- The invoicing cycle, payment window, accepted methods and consequences of non-payment.
Dates, timing and duration
These dates decide when obligations start, when they end, and when someone is in breach. The effective date in particular should have a date and a test attached to it.
- Effective Date
- The date the agreement takes effect. This can differ from the signature date, and it is the date obligations start running from.
- Schedule
- The agreed timetable of dates, sessions or milestones.
- Notice Period
- How much warning a party must give before ending the agreement, and how notice must be delivered to count.
Legal protections and risk
Decide who carries which risk and who insures it before an incident, not after. Afterwards, both readings of the silence are self-serving.
- Default Terms
- What counts as a default, any cure period, and the remedies available to the non-defaulting party.
- Governing State
- The state whose law governs the agreement. Choose a state connected to the parties or the work, as a wholly unconnected choice may not be respected.
Completing this gift letter agreement
Keeping the version straight
Date the document and mark superseded drafts clearly. Two unlabelled versions in circulation is a surprisingly common cause of genuine, honest disagreement.
Not stopping at the effective date
What each side is left owing once it takes effect continues past that point. Give it its own clause, because obligations that are merely assumed to survive often do not.
Filling in every blank
Unfilled placeholders are read against whoever produced the document. If a field genuinely does not apply, write "not applicable" rather than leaving a gap.
Dates that drive obligations
Use calendar dates rather than relative triggers such as "on approval", which cannot be measured. Dates determine when obligations start, when they end, and when someone is late.
Describing the arrangement
The strongest version of this gift letter agreement describes the arrangement in terms someone outside the deal could check — quantities, obligation covereds, dates and standards. Write it so a reader who was not in the room can tell whether it has been done.
Common mistakes to avoid
- Letting the arrangement change without repricing. Where the scope of the arrangement moves, the price and the timetable should move with it. Absorbing the first few changes sets the expectation that all of them are free.
- Overlooking third-party consents. Where a landlord, lender, insurer or regulator has to agree, get that consent before the effective date rather than assuming it will follow.
- Leaving the arrangement loosely described. Write down what the arrangement actually consists of, measured in obligation covereds. A description that cannot be counted cannot be enforced, and it is the party receiving and the party giving who end up arguing about the gap.
- Letting the agreement lapse quietly. Where the arrangement rolls on, diarise the notice deadline the day it is signed. Renewal clauses work exactly once against the party who forgot them.
- Deposits with no agreed status. Say whether a deposit is refundable, what it secures, and what happens to it if the arrangement ends early. Deposit disputes are among the most common of all.
How to use this gift letter agreement generator
- Fill in the form. Enter the 13 details requested. Where an entry depends on a count — obligation covereds, dates, amounts — put the number in rather than a description of it. Nothing is sent to a server — the document is assembled in your browser.
- Read the preview. The preview updates as you type and is editable, so you can adjust the wording before downloading — useful where an informal understanding nobody wrote down until it mattered needs a sentence of its own that the standard clauses do not cover.
- Download and sign. Download in either format and circulate for signature. Diarise the dates the document creates, particularly anything that has to happen before the effective date.
Gift Letter Agreement — frequently asked questions
Why do mortgage lenders require a gift letter?
Because a lender assessing affordability needs to know whether the deposit funds carry a repayment obligation. If the money is actually a loan, it is a debt affecting what the borrower can afford, and an undisclosed one may amount to mortgage fraud. The letter confirms in writing that no repayment is expected and that the donor holds no claim over the property.
Who should sign the gift letter agreement?
The party giving and the party receiving, through someone with authority to bind them. Where either is a company, that means a director or an officer with delegated authority — a signature from someone without it is a defence waiting to be raised.
Does anything survive after the gift letter agreement ends?
Yes. What each side is left owing once it takes effect continues past the effective date, and confidentiality obligations normally do too. Anything expected to survive has to say so expressly — an obligation that is merely assumed to continue generally does not.
Which state's law should govern this gift letter agreement?
Choose a state with a genuine connection to the parties or the subject matter — where a party is based, or where the work or property is located. A choice with no connection at all may not be respected, and for property or employment the local state's rules will often apply regardless of what the contract says.
How is notice properly given under this agreement?
Follow the notice clause exactly: use the stated method, send it to the address named in the agreement, and keep proof of delivery. Notice given informally — a text message, or an email to the wrong person — is frequently challenged, and a defective notice can leave the agreement running on.
What interest rate can I legally charge?
State usury laws set the ceiling, and it varies widely. Some states also treat loans differently depending on whether the lender lends regularly. Check your state's limit before setting a rate, since exceeding it can cost you the interest and occasionally more.
Does this document need to be notarised?
For most private agreements, no — signatures from both parties are enough. Notarisation is worth it for larger sums, anything secured against property, or where you anticipate the document being challenged, because it makes the signature very difficult to deny.
Can I edit the gift letter agreement after downloading it?
Yes. The Word version is fully editable in Word, Google Docs or Pages, so you can adjust clauses, add your own terms or reformat it. You can also return to this page at any time, change your entries and download a fresh copy.
