What matters most in a trade secret agreement
Mutual or one-way
If both sides will share, make it mutual. A one-way NDA signed by a party who also discloses leaves them unprotected.
Set the right duration
Two to five years suits ordinary commercial information; genuine trade secrets can be protected for as long as they remain secret. State that the obligation survives termination.
Define confidential information specifically
A definition covering absolutely everything is often read down by courts as covering nothing useful. Describe the categories that actually matter.
When you need a trade secret agreement
- When sensitive information is shared: Confidentiality terms should be signed before disclosure, not after. Information already shared without protection is very difficult to claw back.
- When someone else is paying: Where a third party funds or guarantees the arrangement, they should be named and their obligations spelled out. A guarantee that is only implied is not a guarantee.
- When ownership of the confidential information matters: State who owns what is produced and at what point ownership passes. Without an express written term, ownership usually stays with whoever created it.
- Before the disclosing party starts: Put the trade secret agreement in place before anyone relies on it. An agreement signed after work has begun is far harder to enforce on the terms you actually intended.

Dates, timing and duration
These dates decide when obligations start, when they end, and when someone is in breach. The end of the protection period in particular should have a date and a test attached to it.

- The date the agreement takes effect. This can differ from the signature date, and it is the date obligations start running from.
- Term
- How long the agreement lasts, and whether it renews automatically. Automatic renewal clauses are regulated in several states and must often be flagged clearly.
Confidentiality and intellectual property
Signed before disclosure, these clauses work. Signed afterwards, they are an attempt to claw back information that has already gone.
- Description of Intellectual Property
- Precisely which work, mark, patent or asset is covered, with registration numbers where they exist.
- Scope of Grant
- Exactly what rights are granted, and whether the grant is exclusive, sole or non-exclusive. The difference materially changes the value.
- Permitted Uses
- The uses the licensee may make of the material. Anything not expressly granted is generally reserved to the owner.
- Territory
- The geographic area the rights apply in, from a single state to worldwide.
- Reservation of Rights
- Confirmation that the owner keeps everything not expressly granted.
- Restrictions
- What the licensee must not do — sublicense, modify, reverse engineer or use outside the agreed field.
- Confidentiality Obligations
- The duty to keep information private, who it may be shared with internally, and the standard of care required.
Legal protections and risk

Arrangements drift. If the way the disclosing party and the receiving party work together has moved away from the wording, reissue the document rather than relying on a version that no longer describes reality.
Common mistakes to avoid
- Letting the confidential information change without repricing. Where the scope of the confidential information moves, the price and the timetable should move with it. Absorbing the first few changes sets the expectation that all of them are free.
- No territory or term on the grant. An unbounded licence is effectively a transfer. State the territory, the media, the term and the exclusivity, because each is priced differently.
- Leaving out the governing law. Where the disclosing party and the receiving party are in different places, naming the law and the forum in advance avoids a preliminary fight about where the dispute is even heard.
- Nobody keeps a signed copy. Each party should hold a fully signed version. A contract that exists only as an unsigned draft on one side's laptop is very hard to rely on.
- Moral rights left unaddressed. In many jurisdictions the creator keeps rights of attribution and integrity even after assignment. Deal with them expressly rather than assuming they went with the copyright.

Is an NDA enforceable if the information later becomes public?
Not for information that has genuinely entered the public domain through no fault of the receiving party — that is what the standard exclusions cover. But it remains fully enforceable against the party who caused the disclosure, and against continued use of information that was confidential when received. An NDA cannot restore secrecy, which is why prompt action on breach matters.
Who should sign the trade secret agreement?
The disclosing party and the receiving party, through someone with authority to bind them. Where either is a company, that means a director or an officer with delegated authority — a signature from someone without it is a defence waiting to be raised.
How detailed does the trade secret agreement need to be?
Detailed enough that someone who was not part of the conversation could read it and tell whether each side has done what it promised. That is the standard a court applies, and it is a useful test to run over your own draft before signing.
Which state's law should govern this trade secret agreement?
Choose a state with a genuine connection to the parties or the subject matter — where a party is based, or where the work or property is located. A choice with no connection at all may not be respected, and for property or employment the local state's rules will often apply regardless of what the contract says.
How long do the confidentiality obligations last?
Ordinary commercial information is usually protected for a fixed period of two to five years after the agreement ends, while genuine trade secrets are often protected for as long as they stay secret. Whichever you choose, state expressly that the confidentiality clause survives termination — otherwise the protection ends with the contract.
Do I need to register my IP for this agreement to work?
The agreement is valid without registration, but registration strengthens enforcement considerably — in the US, for example, copyright registration is a prerequisite to filing an infringement suit and affects the damages available. Record any registration numbers you do have.
What is the difference between assigning and licensing IP?
Assignment is a permanent transfer of ownership — the assignor no longer holds the right. A licence is permission to use the right while the owner retains it, and it can be limited by time, territory, field of use and exclusivity. Assignment usually commands a higher price for that reason.
